Welcome to Nitrogen ("Nitrogen", "we", "us", "our"), the company behind Nitric, a SaaS social media platform that enables entertainment studios to share their creative process, development updates, and other content with fans.
This Privacy Policy and Terms of Use ("Policy") explains how we collect, use, and protect personal data and sets out the terms and conditions that govern your use of Nitric.
By creating an account, accessing, or using Nitric, you agree to this Policy. If you do not agree, you must not use Nitric.

6. How We Share Personal Data
Nitrogen does not sell your personal data. Personal data may be shared in the following ways:
- Public Content and Profile Information: Content you post and certain aspects of your profile may be visible to other Nitric users or the public, depending on your settings and the nature of the account.
- Service Providers and Partners: With trusted third-party vendors who provide hosting, infrastructure, analytics, email delivery, customer support, payment processing, and similar services under written agreements and appropriate data protection obligations.
- Business and Corporate Events: In connection with a merger, acquisition, restructuring, sale of assets, or similar corporate transaction, where personal data may transfer as part of the assets.
- Legal and Compliance: Where required to comply with the law, protect rights, safety, or property (ours, yours, or others), or respond to lawful requests from authorities.
When sharing data outside the EEA/UK, Nitrogen uses appropriate safeguards as described in Section 7.

Nitrogen does not knowingly collect personal data from children under the applicable minimum age. If Nitrogen becomes aware that such data has been collected, it will be deleted or access to Nitric will be disabled for the relevant account.
12. Security
Nitrogen employs appropriate technical and organizational measures designed to protect personal data against accidental or unlawful destruction, loss, alteration, unauthorized disclosure, or access.
Despite these efforts, no system or transmission over the internet is completely secure, and Nitrogen cannot guarantee absolute security.
TERMS OF USE
13. Eligibility and Accounts
- You must be at least 18 years old, or the legal age of majority in your jurisdiction, to create an account or act on behalf of a studio or business.
- You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
- You agree to provide accurate, current, and complete information during registration and to keep it updated.
- Nitrogen may suspend or terminate accounts that violate this Policy or are otherwise used in an unlawful or abusive manner.
14. User Content and Conduct
By posting or uploading content to Nitric:
- You retain ownership of your content but grant Nitrogen a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and distribute your content as necessary to operate and improve Nitric and to display it to other users in accordance with your settings.
- You represent and warrant that you have all necessary rights to post the content and that it does not infringe or violate any third-party rights (including intellectual property and privacy rights) or any applicable law.
You agree not to:
- Post unlawful, defamatory, hateful, harassing, deceptive, or otherwise harmful content.
- Upload content that includes unauthorized personal data of others without their consent where required.
- Attempt to reverse engineer, interfere with, or disrupt Nitric or its security features.
- Use Nitric for spam, scams, or to misrepresent your identity or affiliation.
Nitrogen may remove or restrict content or accounts that violate these rules or applicable law.
15. DMCA and Copyright Policy
Nitrogen respects the intellectual property rights of others and expects its users to do the same. In accordance with the Digital Millennium Copyright Act (DMCA) and other applicable laws, Nitrogen has adopted a policy of responding to notices of alleged infringement that comply with the DMCA.
Notice of Infringement: If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement and is accessible via Nitric, please notify our designated Copyright Agent with a written notice that includes:
- An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest;
- A description of the copyrighted work that you claim has been infringed;
- A description of where the material that you claim is infringing is located on Nitric;
- Your address, telephone number, and email address;
- A statement by you that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
- A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

Repeat Infringers: Nitrogen reserves the right, in its sole discretion, to disable and/or terminate the accounts of users who are repeat infringers.
16. Intellectual Property
All rights, title, and interest in and to Nitric, including software, design, branding, features, and underlying technology, are owned by Nitrogen or its licensors.
Except for the limited rights expressly granted in this Policy, no license or right is granted to you under any intellectual property right owned or controlled by Nitrogen.
17. Subscription and Payment Terms
If you subscribe to any paid features or services on Nitric ("Paid Services"), the following terms apply:
- Pricing and Billing: You agree to pay all fees for the Paid Services at the prices in effect when the charges are incurred. You authorize Nitrogen to bill your designated payment method on a recurring basis (e.g., monthly or annually) until you cancel your subscription.
- Automatic Renewal: Unless otherwise stated at the time of purchase, your subscription will automatically renew at the end of each subscription period unless you cancel it at least 24 hours before the renewal date.
- No Refunds: Payments are non-refundable, and there are no refunds or credits for partially used subscription periods, except as required by law.
18. Disclaimers and Limitation of Liability
Nitric is provided on an "as is" and "as available" basis, and Nitrogen does not make any guarantees about uptime, availability, or suitability for a particular purpose.
To the maximum extent permitted by law, Nitrogen's total liability arising from or related to Nitric or this Policy is limited to the amount you paid for access to Nitric in the twelve (12) months preceding the event giving rise to the claim, or, if you use Nitric free of charge, to a reasonable sum as permitted by law. Certain jurisdictions do not allow the exclusion or limitation of liability, so these limitations may not apply to you.
19. Third-Party Links and Services
Nitric may contain links to third-party websites, advertisers, services, or other events or activities that are not owned or controlled by Nitrogen. We do not endorse or assume any responsibility for any such third-party sites, information, materials, products, or services. If you access a third-party website from Nitric, you do so at your own risk, and you agree that Nitrogen has no liability arising from your use of or access to any third-party website, service, or content.
20. Indemnification
You agree to defend, indemnify, and hold harmless Nitrogen, its affiliates, directors, officers, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable attorney's fees and costs, arising out of or in any way connected with (i) your access to or use of Nitric; (ii) your violation of this Policy; (iii) your infringement of any third-party right, including without limitation any intellectual property right or privacy right; or (iv) any claim that your User Content caused damage to a third party.
21. Termination
- Termination by You: You may terminate your account at any time by following the process provided in your account settings.
- Termination by Nitrogen: Nitrogen may terminate or suspend your account, access to Nitric, or any part thereof, immediately and without prior notice or liability, for any reason, including without limitation if you breach this Policy.
- Effect of Termination: Upon termination, your right to use Nitric will immediately cease. Sections of this Policy that by their nature should survive termination (including, without limitation, provisions regarding ownership, Intellectual Property, Indemnification, Limitation of Liability, and Governing Law) will remain in effect. Nitrogen's Data Retention policy (Section 8) will govern the retention and deletion of your personal data after termination.
22. Governing Law and Dispute Resolution
- Governing Law: This Policy and any disputes or claims arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
- Exclusive Venue: You agree that any suit, action, or proceeding arising out of or relating to this Policy or Nitric that is not subject to arbitration (if applicable below) must be instituted in the state of Delaware.
23. Changes to This Policy
Nitrogen may update this Policy from time to time to reflect changes in legal requirements, business practices, or Nitric's features.
When changes are material, Nitrogen will notify you by appropriate means (for example, through Nitric or by email) and indicate the "Last Updated" date. Your continued use of Nitric after the updated Policy becomes effective constitutes your acceptance of the changes.
